Terms of Service

Effective date: February 24, 2026

These Terms of Service govern your access to and use of Prismo, an AI infrastructure platform that provides AI gateway routing, usage analytics, cost tracking, budgets, alerts, and optimization features.

1. Agreement and Eligibility

By accessing or using Prismo, you agree to these Terms on behalf of yourself or the entity you represent. You represent that you have authority to bind that entity and are legally able to enter into this agreement.

2. Services

Prismo provides software and APIs for routing and managing AI requests, monitoring usage, cost analytics, budget enforcement, alerts, and related features. Features may evolve over time and may differ by plan.

Some features depend on third-party AI providers and infrastructure. You are responsible for maintaining valid accounts and credentials with those providers.

3. Account Security and API Credentials

You are responsible for safeguarding your Prismo API keys, provider credentials, and account access. You must promptly notify us of unauthorized use or a suspected security incident.

You remain responsible for activity under your account, including traffic routed through your configured providers.

4. Acceptable Use

You may not use Prismo to:

  • violate applicable laws or regulations;
  • infringe intellectual property or privacy rights;
  • transmit malware, attempt unauthorized access, or disrupt the service;
  • abuse, overload, reverse engineer, or circumvent technical limitations of the platform;
  • route prohibited content or unlawful workloads through our infrastructure.

We may suspend or restrict access for security, abuse prevention, legal compliance, or material violations of these Terms.

5. Customer Data and Data Handling

As between the parties, you retain rights to your application data and request content. Prismo processes data to provide the service, including routing, analytics, budgeting, alerts, and operational support.

Prismo may retain operational metadata (for example token counts, costs, latency, model usage, attribution tags, and enforcement events) for analytics, billing, and reliability. Data handling is further described in our Privacy Policy.

6. Logging, Security, and Compliance

We implement reasonable safeguards for the platform, including access controls, encryption, and monitoring. You are responsible for configuring your integration, request tagging, routing options, and privacy settings to meet your compliance requirements.

We may provide documentation or contractual support for compliance programs (for example a DPA) subject to plan, use case, and separate agreement.

7. Billing and Payment

Paid plans, usage-based fees, and billing terms are described in your order form, plan, or pricing page. You agree to pay applicable fees, taxes, and charges associated with your account.

Unless otherwise stated, fees are non-refundable except where required by law. We may suspend paid features for non-payment after notice.

8. Service Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability. Maintenance, incidents, third-party provider failures, or network issues may affect performance.

We may modify features, APIs, or limits over time. We will use reasonable efforts to avoid breaking changes, but compatibility may require you to update your integration.

9. Intellectual Property

Prismo and related software, branding, and documentation are owned by Prismo and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during your subscription term.

10. Disclaimers

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Prismo disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Cost savings, optimization outcomes, and forecast metrics are estimates and depend on your workloads, provider pricing, and configuration.

11. Limitation of Liability

To the maximum extent permitted by law, Prismo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption.

Prismo’s aggregate liability arising from or related to the service will not exceed the amounts paid by you to Prismo for the service during the 12 months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold Prismo harmless from claims, damages, liabilities, and expenses arising from your use of the service, your data, or your violation of these Terms or applicable law.

13. Termination

You may stop using the service at any time. We may suspend or terminate access for material breach, legal risk, abuse, or prolonged non-payment. Sections that by their nature should survive termination will survive.

14. Governing Law and Disputes

These Terms are governed by the laws specified in your order form or, if none, the laws of the jurisdiction where Prismo is organized, without regard to conflict-of-law principles. Venue and dispute procedures may be set by separate agreement.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version and revise the effective date above, and may notify you through the dashboard or email.
